BENSALEM, Pa.--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Dollar Thrifty Automotive Group, Inc. (“Dollar Thrifty�?? or the “Company�??) related to the Company’s agreement to be acquired by Hertz Global Holdings, Inc. (“Hertz�??). The proposed cash-and-stock transaction values Dollar Thrifty stock at approximately $41.00 per share.
Under the terms of the definitive agreement entered into by the parties, the $41.00 per share purchase price comprises 80% cash consideration and 20% stock consideration. The cash portion will be paid in two components: (i) a $200 million special cash dividend representing approximately $6.88 per share to be paid by Dollar Thrifty immediately prior to the transaction closing, and (ii) $25.92 per share to be paid by Hertz at the closing. The stock portion will be paid at a fixed exchange ratio of 0.6366 per share, based on the $12.88 per-share closing price of Hertz common stock on April 23, 2010. Upon completion of the transaction, Dollar Thrifty stockholders will own approximately 5.5% of the combined company on a diluted basis, and Dollar Thrifty will become a wholly owned subsidiary of Hertz. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the transaction by Dollar Thrifty’s board of directors.
