Evergreen Energy Raises Approximately $7 Million through a Registered Direct Offering

DENVER--Evergreen Energy Inc. (NYSE Arca: EEE) announced that it entered into definitive agreements with institutional investors in a registered direct offering with gross proceeds of approximately $7 million. Evergreen expects to receive net proceeds of approximately $6.5 million after deducting placement agent fees and other offering expenses. The securities were offered pursuant to a shelf registration statement on Form S-3 that was previously declared effective by the Securities and Exchange Commission (SEC) on January 19, 2010.

“This transaction represents an important step in the capital restructuring of Evergreen and our focus on transitioning the company to a pure play strategy featuring our GreenCert™ solutions. As such, we are committed to the sale of Buckeye Industrial Mining Co. and executing the spin-off of our K-FuelŪ operations.”

The company has agreed to sell to the investors an aggregate of 23,503,330 shares of its common stock at a per share purchase price of $0.30 and warrants to purchase up to 11,751,664 additional shares of common stock with an exercise price of $0.3859. The warrants are not exercisable within the first six months and have a term of exercise of five years. Evergreen expects to use the net proceeds for general working capital purposes. The offering is expected to close on or before Friday, January 29, 2010, subject to the satisfaction of customary closing conditions.
