Commercial Vehicle Group Announces Acquisition of C.I.E.B.

NEW ALBANY, Ohio, Nov. 29, 2006 -- Commercial Vehicle Group, Inc. , announced today that it acquired all of the outstanding common stock of C.I.E.B. Kahovec, spol. s r.o. ("C.I.E.B."). C.I.E.B. is located in Brandys nad Orlici, Czech Republic and is a seat manufacturer primarily for the commercial bus and truck markets.

"This acquisition demonstrates our continued focus on expanding our global footprint and provides CVG with a new customer base in our key end markets in the central and eastern European regions," said Mervin Dunn, president and chief executive officer of Commercial Vehicle Group. "With its wide variety of bus and truck seats, C.I.E.B. complements our existing product offering and provides us with a well positioned platform to utilize as a building block for our global expansion and sourcing efforts."

Total cash consideration for the transaction was approximately $8.8 million. The acquisition of C.I.E.B. is expected to be neutral to CVG's earnings per share for the remainder of 2006. C.I.E.B. revenues are expected to be in the range of $9.7 million for the full year 2006. Operating income and depreciation are expected to be approximately $1.1 million and $0.3 million, respectively, for the full year 2006.
