Veri-Tek International, Corp. to Enter Into a Securities Purchase Agreement With Certain Institutional Investors
WIXOM, Mich., Nov. 6, 2006 -- Veri-Tek International, Corp. (AMEX:VCC) ("Veri-Tek" or the "Company") announced today that it has entered into a Securities Purchase Agreement with certain institutional investors pursuant to which the Company agreed to issue 2,750,000 units at $4.05 per unit, resulting in approximately $11.1 million in gross proceeds to the Company. Each unit will consist of one share of common stock, a Series A warrant to purchase one-fifth of a share of common stock, and a Series B warrant to purchase one-fifth of a share of common stock. The Series A warrant will be exercisable at $4.05 per share. The Series B warrant will be exercisable at $4.25 per share. The Series A and Series B warrants have a five year term, and are not exercisable until six months after the issuance date. The proceeds from the sale will be used to reduce a portion of the Company's debt and to acquire the assets of Liftking Industries, Inc. as well as general working capital purposes.
The securities issued in the private placement have not been registered under the Securities Act of 1933, as amended, and may not be subsequently offered or sold by the investors in the United States absent registration or an applicable exemption from the registration requirements. The Company has agreed to file a registration statement covering resales by the investors of the common stock, including those shares of common stock issuable upon exercise of the warrants.
