Goldsmith Agio Helms Announces the Sale of Eckler's Enterprises, Inc. to Century Park Capital Partners

MINNEAPOLIS--July 13, 2006--Goldsmith Agio Helms is pleased to announce the sale of Eckler's Enterprises, Inc. ("Eckler's" or the "Company") to Century Park Capital Partners. Eckler's is a market leader in multi-title catalog and Internet marketing of classic and enthusiast auto aftermarket parts for Corvette and other classic Chevy automobiles.

Jim Clancy, a Director with Goldsmith Agio Helms, stated, "In our view, Eckler's is the most sophisticated classic car parts company both online and through catalogs. As a result, it is also an exciting consolidation platform in this enthusiast segment. We expect substantial growth over the next five years." Mr. Clancy is a member of the firm's Specialty Retail and Direct Marketing Group as well as the head of its Technology Group.

HIGHLIGHTS FROM THE TRANSACTION

There was unusually strong interest in the Eckler's acquisition opportunity due to its strong cash flow, established market position, enthusiast customer base, deep management team and proven acquisition platform. Ed Mills, president of Eckler's stated, "Century Park showed a great deal of interest from the very beginning of the process. We are delighted to be partnering with them to accelerate Eckler's growth."

Marty Jelenko, one of Century Park's Managing Partners, said, "Eckler's has one of the finest management teams and is engaged in one of the best businesses I have seen in my 30-plus years in the M&A business. With its Corvette and classic Chevy aftermarket parts focus, Eckler's combines an important slice of 'Americana' with an 'enthusiast' customer base for a terrific business model. With Detroit's recent introduction of retro auto designs such as the new Ford Mustang and the positive feedback on concept cars like the Dodge Charger and Chevy Camaro, we expect the interest in classic cars and trucks to continue and grow."

Marty Jelenko continued, "Our experience throughout the transaction process was great. Goldsmith Agio Helms combined strong professional expertise and experience to balance both buyer and seller needs. We could not be happier with this outcome."

Jim Clancy, a director with Goldsmith Agio Helms and lead banker on the transaction, commented, "This was an extraordinary process, with enthusiastic buyer response, which allowed us to accelerate getting the transaction over the finish line. Potential buyers were drawn to the compelling characteristics of Eckler's multi-title platform and its proven ability to grow both organically and through acquisitions. We are excited about the partnership between Marty and his team at Century Park and the management team led by Ed Mills and CFO Matt Jordan and believe they will be very successful in expanding the business over the next few years."

David Solomon, a managing director with Goldsmith Agio Helms and head of the firm's Specialty Retail and Direct Marketing Group, said, "Eckler's is a gem in the direct marketing space. Its focus on the classic car enthusiast yields unusual stability, and the fragmented nature of the classic car parts industry allows many years of consolidation growth."
