ArvinMeritor Files Resale Shelf Registration Statement for 4.625 Percent Convertible Senior Notes Due 2026
TROY, Mich., May 23, 2006 -- ArvinMeritor, Inc. today filed a shelf registration statement with the Securities and Exchange Commission to register the resale by holders of up to $300 million of its 4.625 percent Convertible Senior Notes due 2026 (the "Notes"), and the shares of the company's common stock issuable upon conversion of the Notes.
As previously announced, the Notes were issued in a private placement in March 2006. The company will not receive proceeds of any resales that may be made under the registration statement, which became effective automatically upon filing.
