MISCOR Group S-1 Registration Statement for Public Offering of Common Stock Declared Effective
SOUTH BEND, Ind., May 18 -- MISCOR Group, Ltd., a South Bend, Ind.-based provider of electrical contracting and industrial services, said its Registration Statement on Form S-1 for the secondary resale of approximately 199 million shares of common stock by various selling shareholders was declared effective by the U.S. Securities and Exchange Commission (SEC) Friday, May 12, 2006. This is the initial public registration of the company's shares.
MISCOR, formerly Magnetech Integrated Services Corp., said its shares will be offered at a fixed price of $0.25 per share while it pursues a listing on the OTC Bulletin Board or other established trading market. MISCOR reported net sales of $46.3 million for the year ended Dec. 31, 2005, up from $28.9 million in the prior year, spanning electrical contracting and repair and engineering services for specialty electric motors, lifting magnets, power distribution systems and large diesel engines.
