DETROIT, May 17, 2006 -- American Axle & Manufacturing Holdings, Inc., which is traded as AXL on the NYSE, announced that in accordance with Section 11.01 of the indenture dated as of February 11, 2004 (the "Indenture") among American Axle & Manufacturing Holdings, Inc., a Delaware corporation (the "Company"), American Axle & Manufacturing, Inc. a Delaware corporation, as guarantor, and BNY Midwest Trust Company, as trustee, the Company has determined that holders of the Securities are entitled to convert their Securities in accordance with the terms of the Indenture and paragraph 9 of the Securities providing for conversion upon a credit ratings downgrade.
