Atlantis Holding Corp Signs Letter of Intent to Acquire American Sales & Marketing

TUSTIN, Calif., May 4, 2006 -- Atlantis Holding Corp has signed a letter of intent for the acquisition of American Sales & Marketing. Terms of this acquisition remain to be finalized, but it is expected that Atlantis Holding Corp will purchase American Sales & Marketing in exchange for shares of stock in Atlantis Holding Corp.

American Sales & Marketing is an Oceanside, California based company formed in 1994 that offers sales distribution and marketing service and support for a number of high-quality automotive aftermarket product lines. American Sales & Marketing has earned a national reputation as a leading supplier of automotive aftermarket products. Clients include most of the major automotive supply stores and warehouses, such as Auto Zone, CSK Auto, CarQuest, Parts Plus, Costco and Wal-Mart, etc.
