Productivity Technologies Corp. Announces Decision to Terminate Registration

FENTON, Mich., April 28 -- Productivity Technologies Corp. announced today its decision to terminate its registration under the Securities Exchange Act of 1934. The Company yesterday filed a Form 15 with the Securities and Exchange Commission to effect such termination, to be effective in 90 days. The Company previously suspended its periodic reporting under the Securities Exchange Act of 1934 since its shares of common stock were held of record by less than 300 persons as of the beginning of its current fiscal year, which began July 1, 2005.

Samuel N. Seidman, the Chairman and Chief Executive Officer of Productivity Technologies, commented, "We reached the decision only reluctantly after considering the Company's costs of continuing as a public company and the burden of short term debt, particularly in light of recent lower revenues and the intense market competitiveness which impacts our Atlas Technologies, Inc., subsidiary. Although it has been working to diversify its revenues in recent years, Atlas currently principally services domestic automobile and automobile parts manufacturers."
