VLDC Technologies, Inc. Announces Signing of a Share Exchange Agreement with ATS Co. Ltd.

WESTLAKE VILLAGE, Calif. & MATSUYAMA CITY, Japan--Dec. 2, 20056, 2005--VLDC Technologies, Inc. (Pink Sheets:VLDT), ("VLDC"), a Colorado corporation, announced that it has signed a share exchange agreement with ATS Co., Ltd. ("ATS") a Japanese corporation active in the sales, marketing and distribution of ultraviolet radiation absorbing resins for use in residential and office buildings, automotive applications and commercial agriculture.

The terms of the proposed share transaction, all of which are subject to approval by the VLDC shareholders at a special meeting of shareholders, are as follows: VLDC Technologies, Inc. will exchange 8,000,000 shares of its common stock with the shareholders of ATS Co., Ltd. for 100% of the issued and outstanding common stock of ATS Co., Ltd.

Upon conclusion of the proposed share exchange transaction the shareholders of ATS Co., Ltd. will own approximately sixty one percent (61%) of the issued and outstanding common stock of VLDC, and VLDC will change its name to ATS International, Inc. and will immediately apply for a new CUSIP number and stock symbol.

Headquartered in Matsuyama City, Japan, ATS has acquired the international sales, marketing and distribution rights to the Uvcut(TM) line of patented ultraviolet radiation absorbing resins and coatings developed by JTS Co., Ltd. The following ATS products are designed to protect people, materials, objects and agricultural plants from the harmful and damaging effects of ultraviolet radiation.

-- Uvcut100: The Uvcut100 coating can be applied to the windows of office buildings and homes to prevent fading of carpets, furniture and wall paper.

-- Uvcut100A: The Uvcut100A coating has been developed for application to automobile windows in order to prevent ultraviolet light damage to automobile interiors and to limit the risk of sunburn to drivers and passengers.

-- Uvcut200: The Uvcut200 coating material is designed for use with outdoor illumination equipment. As a result of blocking the emission of ultraviolet light, the amount of flying insects that are drawn to outdoor lighting fixtures at night is significantly reduced.

-- Uvcut300: The Uvcut300 coating material has been designed for application to vinyl plastic agricultural hothouses. Research has shown that the reduction of UV radiation results in greater levels of the plant growth hormone, Gibberellin. The application of Uvcut300 allows farmers to increase the quality and yield of their hothouse crops. The water emulsion-based coating can be easily sprayed on an agricultural hothouse in a UV absorbing density suitable to a particular crop.

The entire Uvcut product line is water resistant, temperature resistant, noncombustible and non-toxic.
