Raytech Corporation Announces the Filing of an Amended Form 10-Q for the Second Quarter of 2005
CRAWFORDSVILLE, Ind.--Dec. 1, 20053, 2005--Raytech Corporation announced today it filed an Amended Form 10-Q for the second quarter ended July 3, 2005.As previously announced, the second quarter Form 10-Q is being amended to restate the net loss for a $1.6 million, or $0.04 per share, non-cash reversal of a fresh start accounting reserve for potential IRS issues. The tax reserves, which were no longer necessary after the IRS settlement during the second quarter, were established as part of the fresh start accounting in 2001, when the Company emerged from Chapter 11 bankruptcy. During the second quarter the reversal of the reserve was treated as a reduction in the provision for income taxes and therefore reduced the reported net loss. The reversal should have been treated as a reduction of goodwill.
The net loss for the thirteen-week period ended July 3, 2005 was $5.0 million or $0.12 loss per basic and fully diluted share compared to net earnings of $0.3 million or nil per basic and fully diluted share for the same period in the prior year. For the twenty-six-week period ended July 3, 2005 the net loss was $3.3 million or $0.08 loss per basic and fully diluted share compared to net earnings of $1.4 million or $0.03 per basic and fully diluted share for the same period in the prior year.
Net sales for the thirteen-week and twenty-six-week periods ended July 3, 2005 were not impacted by the restatement.
The decrease in earnings is primarily due to the $1.6 million restatement in the second quarter mentioned above, the continued poor performance of the Domestic OEM segment and restructuring expenses recorded in 2005. As part of its strategy to improve production and profitability in its Domestic OEM segment, the Company announced on October 4, 2005 that it plans to exit its steel stamping business and on November 1, 2005 that it plans to relocate its conventional automotive assembly operations to a more cost competitive location.
