Eaton Completes Purchase of Tractech Holdings, Inc.

CLEVELAND--Aug. 1, 20057, 2005--Diversified industrial manufacturer Eaton Corporation announced today it completed the purchase of Tractech Holdings, Inc., a global manufacturer of specialized differentials for the commercial and specialty vehicle markets.

The transaction was announced July 15, 2005. Eaton purchased Tractech from a shareholder group led by Edgewater Capital Partners, L.P., a Cleveland-based private equity group.
