Modine Announces Aftermarket Spin Off Dates

Good afternoon,

Here's a release which went out this afternoon from Modine Manufacturing
based in Racine, WI on the Modine Aftermarket Spin Off. The last step of the
process will likely happen on July 22 when Transpro shareholders are
expected to approve the spin off. This means that Modine aftermarket
employees will become employees of the new company on July 25. Proliance,
the new company name designated purely Aftermarket, will open up a new
office on July 25 in Racine. This is the first time we have announced a
final day for the spin-off and the day of record to receive the new stock.
