American Standard Directors Declare Quarterly Dividend; Company Announces 2005 Annual Meeting Voting Results

PISCATAWAY, N.J., May 3, 2005 -- American Standard Companies Inc. today announced its quarterly dividend and the results of proxy voting at its annual meeting.

The company's board of directors today declared a quarterly dividend of 15 cents per share of common stock. The dividend will be paid on June 20, 2005, to shareholders of record on June 1, 2005.

At the annual meeting, which was held at its headquarters in Piscataway, New Jersey, the company reported that shareholders approved both company proposals. Shareholders voted to elect three directors, Jared Cohon, Paul Curlander and Frederic Poses, with terms expiring at the 2008 Annual Meeting of Shareholders. No director received less than 96 percent of the votes cast. In addition, shareholders ratified Ernst & Young LLP as the company's independent certified public accountants for the year of 2005.

The company said that 85 percent of the shares outstanding were voted at the meeting or by proxy.
