Elite Flight Solutions Executes Agreement To Acquire Ford / Hyundai Dealership

ROANOKE, Va.--April 15, 2005--Elite Flight Solutions, Inc. (OTCBB:EFLT) (the "Company") announced today it has entered into an Asset Sale Agreement with Stateline Ford, Inc., the owner and operator of a New Jersey dealership (the "Dealership") duly franchised for the sale of Ford and Hyundai automobiles, trucks and used vehicles. Pursuant to the Asset Sale Agreement, Stateline is to convey its Ford and Hyundai business, and all of the personal property used in connection therewith, together with its Ford and Hyundai franchise rights to the Company. In addition, the Company will purchase the land, buildings and improvements associated with the Dealership pursuant to a Real Estate Sale Agreement and Membership Purchase Agreement. Closing of the transaction is subject to certain conditions, including the approval of the Company as a Ford and Hyundai Franchisee. The closing of this transaction will occur within 15 days after all of the contingencies in the Asset Sale Agreement are satisfied.
