Viper Powersports Completes Merger with Viper Motorcycle; Acquires Engine Company, Thor Performance, Inc.
MINNEAPOLIS, April 15 -- (Pink Sheets: VPWS) Viper Powersports Inc., today announced that it completed the merger with Viper Motorcycle Company. In connection with the merger, Viper Powersports issued 4,452,062 common shares and 783,000 preferred shares to the shareholders of the Viper Motorcycle Company. Certain shareholders of Viper Powersports also are purchasing 400,000 shares of common stock at $2.50 per share, providing $1 million of additional working capital.
In a separate transaction, Viper Powersports announced that it has acquired 100 percent of the engine technology and other assets of Thor Performance Inc. for 2,996,575 shares of its common stock. Thor Performance is a motorcycle engine design and development company that has completed development of a 100 cubic inch, 115 cubic inch, and 150 cubic inch short- stroke V-twin engine. To date, the 150 short-stroke is the most powerful V- twin production engine commercially available.
The engines feature billet cases, billet cylinders, and billet rocker boxes. They employ 10 patentable applications, which result in approximately 20 percent more power and 20 percent less heat than any engine on the market today. Various fuel delivery systems are available, including carburetor, Viper proprietary fuel injection, or Viper proprietary direct fuel injection.
The engines are developed by the company's technical director, Al Melling, of Melling Consultancy Design in Rochdale, England. "It is exciting to be a partner in the rise of a new OEM in the cruiser motorcycle market," Melling said. "These engines have been designed and tested for over seven years and now anybody can own a high performance billet engine that will provide more power than most but will also be emission legal."
Viper's proprietary engines will be available in limited volumes as production increases throughout the next 12 months. A 105 cubic inch triple cam engine is under development. The company also is developing a 1500cc fuel injected V8 engine.

We will continue our relationship with Patrick Racing Engines, which provide our proprietary 128 cubic inch billet engine, and we are very proud of our Patrick relationship."
