Fitch Upgrades Chase Auto Owner Trust 2001-B, 2002-B, 2003-A, and 2003-B

NEW YORK--March 22, 2005--Fitch Ratings upgrades four classes of four Chase Manhattan Auto Owner Trust transactions. The upgrades are as follows:

-- CMAOT 2001-B asset-backed certificates to 'AAA' from 'AA';

-- CMAOT 2002-B asset-backed certificates to 'AA' from 'A';

-- CMAOT 2003-A asset-backed certificates to 'AA' from 'A';

-- CMAOT 2003-B asset-backed certificates to 'AA' from 'A+'.

The rating upgrades are a result of increased available credit enhancement in excess of expected remaining losses. Under the credit enhancement structure, the bonds can now withstand stress scenarios consistent with the upgraded ratings and still make full and timely payments of principal and interest in accordance with the terms of the documents. As before, the ratings reflect the quality of Chase Manhattan Bank USA, NA's (Chase) retail auto loan originations, the sound financial and legal structure of the transaction, and servicing provided by Chase.
