American Standard Names Mary Beth Gustafsson Senior Vice President and General Counsel

PISCATAWAY, N.J., Dec. 14, 2004 -- American Standard Companies, Inc. has named Mary Beth Gustafsson as senior vice president, general counsel and secretary, reporting to Chairman and CEO Fred Poses. She succeeds J. Paul McGrath, 64, who will retire in February 2005. McGrath joined American Standard as general counsel more than four years ago.

"Mary Beth is a proven leader with extensive business experience who brings her own unique strengths to this role," said Fred Poses, American Standard's CEO. "Over the past three years, she has been deeply involved in our business operations and shaping our strategies. We are delighted to have her join our senior leadership team.

"Paul has helped raise the standard of excellence throughout our company and within the legal function, and has made lasting contributions to our business as a member of our senior leadership team. We wish him well."

Gustafsson joined American Standard as chief corporate counsel in September 2001. In that role, she was responsible for corporate legal activities, including financing transactions, corporate governance and public company regulation. Most recently, she has served as chief counsel for the company's $5 billion global commercial and residential air conditioning business.

Prior to joining American Standard, Gustafsson spent five years with Honeywell where she held positions of increasing responsibility including chief mergers and acquisitions counsel and chief counsel to Honeywell's $1 billion electronic materials business.

Gustafsson has a bachelor's degree in English Literature from Boston University, and holds a Juris Doctor degree from the University of Michigan Law School.
