Armor Holdings, Inc. Completes $92 Million Specialty Defense Acquisition

JACKSONVILLE, Fla., Nov. 19, 2004 -- Armor Holdings, Inc. , a leading manufacturer and distributor of security products and vehicle armor systems serving law enforcement, military, homeland security and commercial markets, has completed its previously announced acquisition of The Specialty Group, Inc. ("Specialty Defense" or the "Company") for $92 million in cash, which includes the assumption of outstanding debt. Specialty Defense is a market leader in manufacturing Modular Lightweight Load-Carrying Equipment ("MOLLE"), Outer Tactical Vests ("OTVs"), and Warrior Helmets for the U.S. Army with manufacturing facilities in Pennsylvania, Kentucky and Tennessee. The Company will be re-branded as Specialty Defense and integrated into Armor Holdings' Aerospace & Defense Group.
