PCA Industries LLC and Santa Ana Plating Announce Intent to Merge

FULLERTON, Calif.--Oct. 4, 2004--

Merger Offers Unmatched Source for Domestic Contract Manufacturing and Chrome Plating in the Automotive and Motorcycle Industry

PCA Industries LLC and Santa Ana Plating today announced plans to merge, forming the most comprehensive domestic provider of contract manufacturing and chrome plating services to the automotive and motorcycle industries. Under the terms of the agreement, the two organizations will begin operating as a fully merged company beginning immediately, retaining existing locations and names (PCA Industries in Fullerton and Santa Ana Plating in Santa Ana, Calif).

In joining forces, PCA Industries and Santa Ana Plating will offer unmatched size and capabilities in contract manufacturing and chrome plating for the automotive and motorcycle industries in the United States. The combined company will have capacity to manufacture and chrome plate more than 1,200 automotive or motorcycle wheels daily, along with capability to plate thousands of accessories daily. Both PCA Industries and Santa Ana Plating have been in business independently for over 35 years. In recent years, domestic automotive wheel manufacturing and chrome plating has declined significantly due to outsourcing to offshore companies. The merger of these two long-standing companies will result in increased economies of scale and sharing of critical technical and market knowledge to provide differentiation versus offshore service providers and deliver a full suite of services to customers.

"The combination of these two well-established, financially viable companies has resulted in the creation of a powerful new force that will compete more comprehensively and efficiently with offshore plating and manufacturing than any other domestic organization," said Bob Winters Sr., president, PCA Industries. "The addition of the Santa Ana Plating team will allow us to provide customers with a wider range of manufacturing and plating solutions and increased organizational efficiencies. Santa Ana Plating is a leader in plating production parts, including a variety of surfaces beyond aluminum. In addition, this merger will give the combined companies the best technical, engineering and managerial talent available, which will build on existing capabilities to create a strong and resilient business that will remain an industry leader into the future."

Tony Kakuk, president of Santa Ana Plating, will serve as president for the combined companies, and Bob Winters Sr., current president of PCA Industries, will serve as chairman of the board and chief executive officer.

"Our union with PCA Industries is one that is driven by our dedication to meet the ever-changing needs of the marketplace," said Kakuk, president, Santa Ana Plating. "The merger with PCA Industries is one that should be viewed positively by all customers, as it allows us to provide unparalleled levels of manufacturing and plating solutions. This arrangement provides the combined entity with the necessary resources and corporate infrastructure to offer unequaled domestic manufacturing and chrome plating services to the automotive and motorcycle markets. Both companies performed strongly this year and are coming together from positions of strength at a time when there are significant opportunities for enhanced future growth. We are very pleased to join forces with such an accomplished and high-caliber team."
