Bad Toys Holdings, Inc., Approves Purchase of Assets of American Eagle Manufacturing Company
CARLSBAD, Calif.--Sept. 29, 2004--American Eagle Manufacturing Company, Inc., (OTCBB:AEMF), a Nevada Corporation, is pleased to announce that a majority of the Company's shareholders and its Board of Directors have approved an Asset Purchase Agreement between the Company and Bad Toys Holdings, Inc. Under the Asset Purchase Agreement, Bad Toys will purchase all of the Company's assets used in its custom motorcycle manufacturing business. In exchange for the assets Bad Toys will issue 1,818,182 shares of its common stock to American Eagle. Bad Toys will also assume all of the liabilities of the Company that are related to the American Eagles motorcycle manufacturing business.Larry Lunan, President of Bad Toys Holdings, Inc., said, "We believe this is a win-win situation for Bad Toys and American Eagle."
