RC2 Corporation Announces Pricing of Public Offering of Common Stock

OAK BROOK, Ill.--July 29, 2004--RC2 Corporation today announced it has priced the public offering of 2,500,000 shares of Common Stock by the Company at $31.00 per share. The transaction is expected to close on August 3, 2004. The underwriters have been granted an option to purchase an additional 155,000 shares from the Company and 220,000 from certain selling stockholders to cover over-allotments, if any.

Robert W. Baird & Co. Incorporated acted as the lead manager of the offering. Harris Nesbitt Corp., A.G. Edwards and Piper Jaffray & Co. acted as the co-managers.
