Bad Toys, Inc. Completes Acquisition of Street Rod Business

KINGSPORT, Tenn.--Feb. 5, 2004--Bad Toys, Inc. (OTC BB: BTOI), a manufacturer and retailer of custom V-twin motorcycles, has completed its acquisition of the assets of Chambers Automotive, Inc. and Precision Tricks Customs, Inc, manufacturers of street rods. In connection with the asset purchase, Bad Toys, Inc. plans to purchase the real property and manufacturing facility previously used by Chambers Automotive, Inc. and Precision Tricks Customs, Inc. in their street rod business. The manufacturing facility is a 20,000 square foot facility on three (3) acres, located near the metro area of Nashville, Tenn.

Including the planned purchase of the real property and manufacturing facility, the estimated value of the total acquisition is more than $3.2 million. Bad Toys, Inc. plans to operate its newly purchased street rod business through a wholly owned subsidiary using the name Precision Tricks Customs, Inc.

Larry Lunan, Bad Toys, Inc.'s president and CEO, stated, "The acquisition of the street rod business is a tremendous step forward for Bad Toys. This combination will have a positive impact on Bad Toys' base business of manufacturing and selling custom motorcycles by having a show room near a major metropolitan area."

Lunan further commented, "There will also be benefits associated with having vertically integrated common manufacturing processes such as painting, machining, as well as joint sourcing of outside services such as chrome plating."

Management of Bad Toys, Inc. believes this acquisition is a significant move for the company. With the acquisition of the street rod business' customer base, Bad Toys, Inc. expects to see an increase in sales for both street rods and customized V-twin motorcycles as it broadens its physical presence. The company also indicated that this is one of several synergistic acquisition planned for fiscal year 2004.

In 2003, Chambers received NSRA (National Street Rod Association) Pros Pick, Best Paint Award and the Boyd Coddington Pros Pick, and Dupont Top Gun Award. Chambers also earned the Super Chevy Top Class Winner and has been featured in several street rod magazines.
