American Axle & Manufacturing Elects New Board Members

DETROIT, Feb. 3, 2004 -- American Axle & Manufacturing Holdings, Inc. (AAM), which is traded as AXL on the NYSE, today announced the appointment of two new members to its Board of Directors: Dr. Henry T. Yang, Chancellor at the University of California, Santa Barbara, and Mr. Thomas Martin, a retired DaimlerChrysler financial executive.

In addition to his duties as Chancellor at the University of California, Santa Barbara, Dr. Yang serves as professor of Mechanical Engineering. The former Dean of Engineering at Purdue University, Dr. Yang is a nationally recognized expert in automotive and aerospace engineering. He was granted a doctorate degree in Structural Engineering from Cornell University, as well as honorary doctorates from Purdue University and Hong Kong University of Science & Technology. Dr. Yang holds numerous board and committee positions, including: Member of the Board of Directors, for the California Council on Science & Technology; Chairman of the Council of Presidents and Member of the Board of Trustees, Universities Research Association; and founding member of the Steering Committee, Association of Pacific Rim Universities. He previously served on the Board of Directors of both Allied Signal and Eaton Corporation. In addition, Dr. Yang previously served on the Defense Manufacturing Board and the Defense Science Board.

While at DaimlerChrysler, Mr. Martin served primarily in various financial positions including: Chief Financial Officer and board member, Chrysler de Mexico; Chief Financial Officer, Chrysler International - Europe; Controller, Chrysler de Mexico; and Director, Core Process Implementation. In addition, he served as Controller, Service & Parts Division and Financial Manager for Manufacturing, Engineering, Program Management, Design, Procurement & Supply, Chrysler Financial and Corporate Staffs.
