TRW Automotive Holdings Corp. Prices Initial Public Offering of Common Stock
LIVONIA, Michigan, February 3 -- TRW Automotive Holdings Corp. announced today that it has priced its initial public offering of 24,137,931 shares of common stock at US$28.00 per share. The common stock will begin trading today on the New York Stock Exchange under the symbol "TRW".

TRW Automotive Holdings Corp. intends to use the net proceeds from this offering to repurchase a portion of the shares of common stock held by an affiliate of The Blackstone Group L.P. and to repay a portion of each of the senior notes and senior subordinated notes of TRW Automotive Inc., its wholly owned subsidiary.
Goldman, Sachs & Co., Credit Suisse First Boston LLC and J.P. Morgan Securities Inc. are serving as joint book-running managers of the offering. Morgan Stanley & Co. Incorporated is the lead manager and Banc of America Securities LLC, Deutsche Bank Securities Inc., Lazard Freres & Co.
