Merix Corporation Announces Pricing of Public Stock Offering

FOREST GROVE, Ore.--Jan. 28, 2004--Merix Corporation announced today the public offering of 3,600,000 shares of its common stock, including 400,000 shares to be sold by Tektronix, Inc., at a price of $25.21 per share for an aggregate public offering price of $90.8 million. Merix increased the size of the offering from 3,000,000 shares to 3,600,000 shares based on investor demand. The company has granted the underwriters an option to purchase up to an additional 500,000 shares of its common stock to cover over-allotments, if any. Merix intends to use the proceeds of this offering primarily to expand production capacity, for working capital and for general corporate purposes. The company will not receive any proceeds from the sale of shares by Tektronix.

UBS Investment Bank is acting as sole book-running manager of the offering. Thomas Weisel Partners LLC is acting as the co-lead manager, and Needham & Company, Inc. and Wells Fargo Securities, LLC are acting as co-managers of the offering.
