Mindready Solutions Comments on the Impact on Part of its Test Activities of Telecommunication Manufacturers' Tendency to Outsource Manufacturing Activities

MONTREAL--Jan. 2, 20043, 2004--As a result of Nortel Networks' announcement yesterday of its intent to outsource an important part of its manufacturing-related activities, notably in Montreal, Mindready's management will evaluate the impact of this announcement on its own activities. Mindready's management is not currently in a position to assess the exact nature and extent of the impact that Nortel Networks' announcement might have on Mindready's operations.

Mindready's test systems sector revenues derived from Nortel Networks currently represent 24% of Mindready's consolidated revenues. Accordingly, should Nortel's intention materialize, it might have a negative impact on Mindready's operations.
