United PanAm Financial Corp. Files a Registration Statement for a Secondary Offer of Its Common Shares by a Selling Shareholder
NEWPORT BEACH, Calif.--Nov. 13, 2003--United PanAm Financial Corp. announced today that it has filed a registration statement with the Securities and Exchange Commission with respect to a proposed public offering of 2,200,000 shares of common stock. The shares to be sold are offered by a selling shareholder. The number of outstanding shares of the Company will not increase as a result of this proposed offering.The selling shareholder is an entity formed by a partnership that is currently the Company's largest shareholder. The partnership invested in the Company in 1994 and, since that time, has not sold any of its shares in the Company. The partnership will commence a winding-up on Dec. 3, 20031, 2003, and this public offering is part of the orderly distribution of the shares in the Company it holds.
The lead manager of the offering is JMP Securities LLC, and Jefferies & Company Inc. is acting as co-manager. The selling shareholder has granted the underwriters a 30-day option to purchase up to 330,000 additional shares of common stock to cover over-allotments, if any.
