Dtomi, Inc. Signs Letter of Intent to Acquire the AirSpring Axle Lowerable Suspension Assembly Patent

    SAFETY HARBOR, Fla.--April 3, 2003--Dtomi, Inc., a Nevada corporation ("Dtomi") (OTCBB:DTMI), announced it has signed a Letter of Intent to acquire the air spring powered lowerable suspension assembly patent from its owner, John Simpson, of Richland, Washington. Under the terms proposed in the Letter of Intent, Dtomi will acquired United States Patent #6,530,580 for 711,992 shares of Dtomi common stock, which will be issued after Dtomi effects its contemplated 1-for-20 reverse stock split, and will assume certain liabilities relating to costs associated with commercializing the technology underlying the patent.
    The AirSpring Axle(TM) patent is a unique suspension system that enables vehicle axles to be raised and lowered to meet various transportation needs. Acquisition of the AirSpring Axle(TM) patent provides Dtomi with a unique opportunity to commercialize the AirSpring Axle(TM) system in what Dtomi believes to be a multi-million dollar market. "The acquisition of the patent, commercialization of the AirSpring Axle(TM), and deployment of Dtomi's proprietary software for identifying potential buyers of the AirSpring Axle(TM) and manufacturers of certain of its parts creates a compelling opportunity for Dtomi and its shareholders," said CEO J.T. Thatch.
    In connection with the patent acquisition, Dtomi expects to enter into an employment agreement with John Simpson, pursuant to which Mr. Simpson will assume the position of President of Dtomi and oversee the implementation of Dtomi's business plan and the deployment of the AirSpring(TM) Axle technology. Mr. Simpson will also be appointed to the board of directors for Dtomi. In addition, Dtomi will seek to raise up to $1 million in equity capital in connection with the commercialization of the AirSpring Axle(TM). Dtomi expects the asset purchase and patent assignment to close on or by April 7, 2003.
