Apache Motor Corporation Announces Agreement to Acquire 100% of Manter Enterprises

    CALGARY, Alberta--March 12, 2003--Apache Motor Corporation (OTCBB:APHC) ("Apache" or the "Company") announced today that it has entered into an agreement to acquire 100% of the shares of Manter Enterprises Inc. (hereinafter referred to as "Manter"), in a Voluntary Share Exchange for Twenty Million shares of Apache.
    Manter Enterprises Inc. has developed a proprietary formulated matrix and production process using a cement base to manufacture stone products that will be called "Manterra". The Manterra named products will be manufactured in Mexico and distributed to world-wide markets. These products will have both commercial and residential applications in the marketplace.
    Apache intends to change the name of the Company to "Manterra International Corp." following the closing of the Share Exchange.
    All pertinent information regarding the acquisition will be disclosed in a future news release on the closing of the transaction.
