DaimlerChrysler Releases Court Filings in Tracinda Lawsuit
STUTTGART, Germany and NEW YORK, Feb. 19 -- DaimlerChrysler AG today released copies of three legal memoranda filed in support of its motions for summary judgment in the Delaware securities action begun by Tracinda Corporation in November 2000. DaimlerChrysler said the memorandum relating specifically to Tracinda matters has been extensively redacted because Tracinda did not authorize publication of secret Tracinda information obtained in discovery and used in the memorandum to support DaimlerChrysler's positions. DaimlerChrysler said it has not redacted any information of its own from the memorandum. Accordingly, all such information is available to the public. It noted eleven former Chrysler directors, including former Chrysler chairman Bob Eaton, had submitted sworn declarations in support of the motions and said these declarations established: -- the business combination agreement completely and accurately described the understanding between Chrysler and Daimler-Benz. It was fully performed. -- all eleven directors would vote for the 1998 merger again knowing what they know today; -- the 1998 merger was a merger of equals as those directors understood that term; and -- DaimlerChrysler's Supervisory Board had the exclusive responsibility for all the management board changes the plaintiffs complained about and all such changes were unanimously supported by all of its Chrysler shareholder representatives. (Six Chrysler directors who have served on the Supervisory Board also attested the Board began and remained equally balanced between the Chrysler-designated capital representatives and those designated by Daimler-Benz.)
