    SACRAMENTO, Calif., Feb. 5 -- The Board of
Directors of GenCorp Inc. declared a quarterly cash dividend of
three cents per share on the issued and outstanding ten cents par value common
stock of the Company, payable February 28, 2003 to shareholders of record on
February 18, 2003 at 5:00 p.m. Eastern Standard Time.
