Pennzoil-Quaker State Company Announces Suspension of Dividend Payment

HOUSTON, Aug. 23 Pennzoil-Quaker State Company announced today that due to the expected merger with Shell Oil Company it will not pay a dividend for the third quarter 2002. The merger is still expected to close in the second half of 2002.
