CSK Auto Corporation Prices Offering Of Its Common Stock
PHOENIX, June 27 /CSK Auto Corporation today announced that it completed the pricing of an offering of 8,242,000 shares of its common stock at a public offering price of $12.00 per share. The offering, which is expected to close on July 2, 2002, consists of 5,642,000 newly issued shares to be sold by the Company and 2,600,000 shares to be sold by Glenellen Investment Co., one of the Company's stockholders related to the Carmel Group. Up to 1,236,300 additional shares may be sold by the Company should the underwriters exercise an over-allotment option within the next 30 days.
The Company intends to use its net proceeds from the offering to redeem 11% senior subordinated notes that were issued by its subsidiary, CSK Auto, Inc., in 1996.
Merrill Lynch & Co. and UBS Warburg are acting as the co-lead managers of the offering, and Credit Suisse First Boston and Goldman, Sachs & Co. are acting as co-managers.
