The following is an excerpt of closing remarks made by General Motors Chairman John F.  Smith, Jr.at GM's Annual Meeting of Stockholders, Tuesday, June 4, 2002

…Now, before we end the meeting, I would like to add a personal note. Sometime next spring, my career with General Motors will be coming to a close. In April of 2003, I will reach the age of 65. After 42 years with the corporation, I plan to retire at that time in accordance with the General Motors retirement policy. Therefore, this Annual Meeting has been my last as Chairman of General Motors.

But before we leave, I want to express my personal thanks to all of our stockholders. I appreciate your support, especially at these meetings where the dialogue can sometimes become lively!

GM has come a long way from the dark days of the early 90s, and I take enormous satisfaction that I am leaving the company in good hands.

Most of all, thank you for your support of our corporation. It has been an honor for me to serve General Motors over four decades and to act on behalf of our excellent Board of Directors as your presiding officer at these meetings.

Now, this 94th Annual Meeting of General Motors Stockholders, and my seventh and last as your chairman is adjourned.
