S&P Afrms Eden Park Rtgs After Orix Aust Rtg Withdrwn

    MELBOURNE, Australia--Standard & Poor's--May 24, 2002--Following the withdrawal of the rating on Orix Australia Corp. Ltd., Standard & Poor's today affirmed the ratings on six asset-backed transactions in which Orix Australia Corp. Ltd. is the seller and servicer.
    The ratings have been affirmed on: -- Eden Park Trust # 1, -- Eden Park Trust # 2, -- Eden Park Trust # 3, -- Eden Park Trust # 4, -- Eden Park Trust # 5, and -- Eden Park NZ No. 1 Trust.
    Standard & Poor's assessed the impact of the withdrawal of the rating on each of the transaction structures and took into consideration the ability to source an alternate servicer for the respective deals using excess cash flow available within the deals. Standard & Poor's concluded there is no detrimental impact on the ratings on these securities.
