Delphi Announces New Executive Appointments

Remenar Elected New Delphi Saginaw Steering Systems President

TROY, Mich., March 14 Delphi Automotive Systems today announced the retirement of Paul J. Tosch, 61, Delphi vice-president and president of Delphi Saginaw Steering Systems. Tosch will conclude his duties May 1, 2002. He will be succeeded by Robert J. Remenar, 46, who was elected Delphi vice president and president of Delphi Saginaw Steering Systems by the Delphi Board of Directors. He will join the division April 1, 2002. Remenar was formerly executive director of business lines at Delphi Energy and Chassis Systems, headquartered in Troy, Mich.

In addition, Paul R. Free, 45, is appointed executive director of business lines at Delphi Delco Electronics Systems, effective May 1, 2002. Free is currently Delphi's chief accounting officer and corporate controller.

``Paul Tosch helped transform several Delphi businesses to improve profitability, develop new technology and strengthen manufacturing systems, health and safety and quality performance. He has held significant leadership posts at three Delphi divisions and several GM operations throughout his career,'' said Donald Runkle, Delphi executive vice president, and president, Dynamics & Propulsion Sector. ``Under his guidance, Delphi Steering introduced technically advanced electric steering and Quadrasteer to the market. Both have been hailed as market leaders, winning PACE Awards for Innovation. We will all miss his personal and professional leadership.''

Paul Free joined Delphi in 1998 and is the company's first chief accounting officer and controller. Free was deeply involved in establishing the accounting systems and processes necessary to enable Delphi to operate as an independent company. Delphi separated from General Motors in a spin-off transaction in May 1999.

``Paul Free has presided over several first-ever events in Delphi's brief history as an independent, publicly-traded company,'' said Alan Dawes, Delphi chief financial officer. ``I'm confident that he will develop even broader management capability as a result of this new assignment.''

Biographical Information

Paul J. Tosch

Paul J. Tosch is a vice president of Delphi Automotive Systems and president of Delphi Saginaw Steering Systems. He also is a member of the Delphi Strategy Board, the company's top policy-making group.

Tosch began his automotive career at General Motors as a student at General Motors Institute in 1958. After graduation in 1962, he joined GM's Fisher Body Division in Warren, Mich., where he served in a number of divisional engineering positions. He held subsequent positions for GM's engineering staff and in materials management, and later served as chief engineer for the former Buick-Oldsmobile-Cadillac group.

In 1986, Tosch was named general manager of GM's former Bedford Commercial Vehicles operation in Luton, England. He served as managing director, Vauxhall Motors Limited from 1987 to 1991. In 1994 he was elected a GM vice president and named general manager of the former Delphi Interior & Lighting Systems.

He was named general manager, Delphi Saginaw Steering Systems in 1996. He was elected a Delphi vice president and president of Delphi Saginaw Steering on November 16, 1998.

A Michigan native, Tosch was born Oct. 21, 1940. He earned a bachelor's of science degree in mechanical engineering from General Motors Institute and, in 1975, a Master's of Business Administration from Michigan State University's advanced management program.

Robert J. Remenar

Robert J. Remenar, 46, is executive director of business lines for Delphi Energy & Chassis Systems. In this role, Remenar is responsible for the division's nine principal business lines and their global functions.

Remenar began his career with American Natural Resources Corp. in 1978. He joined General Motors Corp. in 1985, as an associate administrator with Chevrolet-Pontiac-GM of Canada headquarters in Warren, Mich. In 1986, he transferred to Saturn Corp.'s Troy, Mich. headquarters as a senior administrator, and in 1989, transferred to Saturn's Spring Hill, Tenn. facility as a manager of finance.

Remenar returned to Detroit in 1991, as a manager for the General Motors headquarters financial staff and was named director of corporate financial analysis on the GM comptroller's staff in 1993. He was named director of health care cost analysis in 1994, and director of employment cost analysis shortly thereafter, serving in several capacities including senior financial executive on the 1996 National Bargaining Committee. Remenar was named director of compensation, policy development and employee relations for GM North American Operations personnel in November 1996.

In March 1998, he became director of human resources for Delphi Chassis Systems in Dayton, Ohio.

In November 1998, he was named director of worldwide finance for Delphi Energy & Engine Management Systems in Flint, Mich., and in April 1999, was assigned the role of director of finance for Delphi Energy & Chassis Systems. Ten months later, in January 2000, he was promoted to his current position.

Remenar has served his community in various areas, including a position on the board of directors of Blue Cross/Blue Shield of Michigan (1996-1998). He holds a bachelor's degree in business administration from Central Michigan University and a master's degree in business administration from Walsh College.

Paul R. Free

Paul R. Free is Chief Accounting Officer and Controller for Delphi Automotive Systems. Free's prior experiences include serving as a practice fellow at the Financial Accounting Standards Board (FASB), the independent auditor for SEC reporting companies, chief financial officer of a multinational specialty chemical company, and an operations executive for a privately owned commercial refrigeration manufacturing company.

His career began in 1979 in the St. Louis office of Deloitte & Touche. He was transferred to headquarters in New York City in 1984 where he worked in the accounting consultation group. During this assignment, Deloitte nominated him as the firm's candidate for a fellowship with the FASB.

In 1986, the FASB selected Free for a two-year Practice Fellowship. He represented the FASB staff on various issues addressed by the Emerging Issues Task Force and served as a resource to the Chief Accountant's Office of the U.S. Securities and Exchange Commission.

Upon completion of the fellowship, he returned to the St. Louis office of Deloitte & Touche. He was the senior manager for the worldwide audit of Monsanto Company, and was admitted to the partnership in 1990. While initially involved with publicly held companies, he was later assigned to the Emerging Business group (where he worked with private companies) and to the Strategic Ventures group (where he assisted companies in forming ventures).

In 1994, Free resigned from Deloitte & Touche to become an operations executive with True Manufacturing Company, a privately held company involved in commercial refrigeration.

In 1997, Novus International, Inc., a multinational chemical company controlled by Mitsui & Company, hired him. Free was serving as vice president and chief financial officer at the time that he joined Delphi.

Free graduated with a bachelor's degree in Business Administration from the University of Missouri-St. Louis in 1979. He is a Certified Public Accountant, licensed in Missouri.
