CTS Announces Direct Stock Purchase Plan
ELKHART, Ind.--Nov. 13, 2001--CTS Corporation today announced that it has established a Direct Stock Purchase Plan (the "Plan") to provide investors with a convenient and economical method to purchase shares, as well as offer investors the opportunity to automatically reinvest dividends.The Company received word today from the Securities and Exchange Commission that its Form S-3 Registration Statement, registering 2,000,000 shares of CTS common stock for sale through the Plan, has been declared effective. In addition to the dividend reinvestment features, other Plan highlights include:
-- | Initial cash investment of $1,000 minimum, up to a maximum of $10,000. |
-- | Purchase of additional shares with a minimum of $500 per payment, up to a maximum of $10,000 per month. |
-- | Optional cash investment in excess of $10,000 per month may be made by requesting a "waiver" which may be granted at the Company's discretion. The Company, at its discretion, may also grant a discount of up to 5% for newly issued shares for waiver transactions. |
Under the provisions of the Plan, the Company may use shares from treasury, shares purchased on the open market, or issue new shares. Proceeds will be used for general corporate purposes, including repayment of debt, research and development and further investments in technology.
