Tomkins Acquires US Residential Air Systems Business

LONDON--Nov. 13, 2001--The Air Systems Components division of Tomkins PLC, the global engineering group, has acquired American Metal Products ("AMP") from Masco Corporation for an undisclosed cash sum.
AMP manufactures grilles, registers and diffusers, vent products and gutter protection systems, mainly for the US residential market. It has manufacturing plants in Olive Branch, Mississippi and Mexicali, Mexico, together with a distribution center in Colton, California, and employs nearly 1,000 people. AMP has annual sales of around $70 million and operating net assets of approximately $30 million.
The AMP brand will be retained and the operations will be integrated into the group's existing residential air systems business.

Ken Lever, Finance Director of Tomkins PLC commented:

"This strategic acquisition broadens our product offering to the residential air handling market, strengthens our manufacturing base and expands the distribution capabilities of our Air Systems business, particularly into the important West Coast market."

Tomkins is a global engineering group of businesses with market and technical leadership positions, manufacturing value added systems and components for the automotive, industrial and construction industries.

Tomkins shares trade in the US in ADR form (each equal to four ordinary shares) on the New York Stock Exchange under the symbol TKS; its ordinary shares are listed on the London Stock Exchange.
