MSC Laminates and Composites Inc., a Division of Material Sciences Corporation (MSC) Announces the Acquisition of Goldbach Automotive Consulting GmbH, Situated in Buchenau, Germany

    ELK GROVE VILLAGE, Ill., Aug. 6 Effective August 1, 2001,
MSC Laminates and Composites will acquire Goldbach Automotive Consulting (GAC)
located in Buchenau, Germany, which specializes in the manufacturing of
products to eliminate brake-related noise in automotive applications.  This
acquisition will extend the global reach of MSC's ability to provide
innovative noise reduction solutions to the automotive brake industry within
Europe.  Ron Millar, MSC Group Vice President, claims that "acquiring GAC is a
key milestone in MSC's global expansion strategy.  We recently established a
joint venture MSC/Tekno with Tekno S.A. in Sao Paulo, Brazil, to produce Quiet
Steel(R) noise and vibration reduction products in South America."
    This acquisition allows MSC Laminates and Composites Inc. to expand its
leading role in providing brake noise solutions to the global automotive
market.  "The production expertise of GAC GmbH, combined with MSC's competence
in identifying and correcting brake noise problems, will provide the
automotive industry with a true solutions supplier that can identify the root
cause of a noise problem, engineer a resolution for the concern, and produce
parts ready for vehicle installation," said Clifford Nastas, MSC Vice
President of Marketing.
    To complement this acquisition, MSC will invest in the construction of a
new Applications Development Center (ADC) in Germany.  This facility will
focus on identifying and resolving automotive brake related noise and
vibration problems.  The ADC will be fully operational by December 2001 and
include development tools such noise dynamometers, modal analysers and other
equipment required to physically characterise and qualify new products for
automotive use.
