Steve Kalafer and Byron Brisby to Acquire Clinton Car and Truck Country

    FLEMINGTON, N.J., July 11 Steve Kalafer, Founder and
Chairman of Flemington (NJ) Car & Truck Country and Princeton's (NJ) Nassau
Conover Family of Dealerships, and Byron Brisby, its President and Chief
Operating Officer, announced they have signed a definitive purchase agreement
to acquire Clinton Car & Truck Country from Gerald Lustig and Mark Porcaro.
Terms were not disclosed.
    Clinton Car & Truck Country operates six franchises at two locations in
Clinton Township and sells and services the brands Ford, Chrysler, Jeep,
Dodge, Chevrolet and Cadillac.
    Steve Kalafer stated, "Byron, our management team and I are confident
about the automotive retail environment in New Jersey and the additional
locations in Clinton will allow us to better serve our customers with expanded
sales and service capabilities."

Dealerships and Clinton Car & Truck Country operate 14 locations and
32 franchises.  The dealerships sell and service the brands of Ford, Lincoln,
Mercury, Nissan, Porsche, Volkswagen, Audi, BMW, GMC, Buick, Chevrolet,
Pontiac, Chrysler, Dodge, Dodge Truck, Jeep, Mazda, Infiniti, Subaru, Isuzu,
Land Rover and Cadillac.
    The closing of the transaction is subject to customary conditions,
including appropriate regulatory and manufacturer approvals.
