ArvinMeritor Declares Quarterly Dividend

    TROY, Mich., July 11 The ArvinMeritor, Inc.
board of directors today announced the reduction of its quarterly dividend to
10 cents per share on its common stock, a 55-percent reduction from the
previous dividend of 22 cents per share.  The dividend will be paid on
September 10, 2001 to shareowners of record as of August 20, 2001.

    "Today's action reinforces our commitment to improving operating
performance and strengthening our balance sheet by enhancing our financial
flexibility," said Larry Yost, chairman and chief executive officer.
"Lowering our dividend allows us to increase investments in technology and
strategic growth opportunities, reduce debt, and return value to our
shareholders through more tax-efficient means."
    This action will bring the dividend payout ratio to a level that is in
line with industry averages and will allow about $31 million annually (after
tax) to be used for future investments, debt reduction or share repurchase.
The dividend reduction represents a change in financial policy, rather than a
change in the company's quarterly or year-end earnings outlook for 2001 or
beyond.
