Amerigon Names Retired Automotive Industry Senior Executive
as New Director
IRWINDALE, Calif., May 24 Amerigon Incorporated
announced today that it held its Annual Meeting of
Stockholders, Wednesday, May 23, 2001, at the Company's headquarters, as
scheduled. A quorum of shareholders was present in person or by proxy. All
proposals submitted to the shareholders were approved, including the election
of Directors to the Board of Directors.
The Directors reelected to serve until the next annual meeting were Oscar
B. Marx, III, Chairman of the Amerigon Board and President and CEO of TMW
Enterprises; Richard A. Weisbart, Amerigon President and Chief Executive
Officer; Lon E. Bell, Ph.D., Vice Chairman of the Amerigon Board and President
of BSST, LLC; John W. Clark, Managing Member of Westar Capital Associates;
Paul Oster, Chief Financial Officer of TMW Enterprises and James J. Paulsen,
retired Ford senior executive.
In addition, the Board named Francois J. Castaing to the Board, replacing
Roy A. Anderson, 80, who recently retired from the Board. Castaing was most
recently technical advisor to the Chairman of Chrysler Corporation, now
DaimlerChrysler. Prior to that, he was Executive Vice President and ran
Chrysler International Operations outside of North America. After spending
thirteen years with Chrysler, he retired in 2000. From 1980 to 1987, Castaing
was with American Motors where he was Vice President of Engineering and later
Group Vice President Product and Quality until Chrysler acquired that company.
Castaing began his career with Renault in France as Technical Director for
Renault Motorsport Programs.
Castaing is Chairman of the Detroit Science Center; Chairman Emeritus,
French American Chamber of Commerce, Michigan Chapter; Chairman, French
American Automotive Business Association; SAE Fellow, Society of Automotive
Engineers; and Member, United States National Academy of Engineering.
The shareholders also approved amendments to the 1997 Stock Incentive Plan
principally to permit Amerigon the flexibility to grant awards in the form of
stock bonuses and/or restricted stock to eligible employees.
