''Guardian Technologies Merger Update''; Vairex Audit Completed

    CAREFREE, Ariz.--May 10, 2001--Guardian Technologies International, Inc. , in a follow-up to its previously announced execution of a definitive agreement to acquire Vairex Corporation (see Press Release dated 2/20/01), announced today that another condition to closing the merger between Guardian and Vairex had been satisfied with the completion of the audit of the financials statements of Vairex.
    "The audit, filed on Form 8K with the Securities and Exchange Commission earlier this week, is an integral part of the Proxy Statement scheduled to be delivered to shareholders in the near future," stated J. Andrew Moorer, President and CEO. "The Proxy will request shareholder approval of the merger," concluded Moorer.
