Tenneco Automotive Announces Annual Stockholders Meeting Results

    LAKE FOREST, Ill., May 9 Tenneco Automotive
announced at its annual meeting yesterday that the stockholders re-elected
M. Kathryn Eickhoff, Frank E. Macher, Roger B. Porter, David B. Price, Jr.,
and Dennis G. Severance to the company's board of directors.  The company also
announced the retirement of Mark Andrews, a director of the company since
1987.

    "We have benefited tremendously from Senator Andrews' expertise in helping
guide Tenneco Automotive through periods of change including transitioning to
a stand-alone company," said Mark P. Frissora, chairman and CEO, Tenneco
Automotive.  "We appreciate his service and excellent counsel over the years
and wish him well in his retirement."

    Mr. Andrews, who was a member of the Audit Committee and the
Compensation/Nominating/Governance Committee, has been chairman of Andrews
Associates, Inc., a government consulting firm, since February 1987.  He
served in the U.S House of Representatives from 1963 to 1980, and in the U.S.
Senate from 1980 to 1986.

    M. Kathryn Eickhoff has been a director of the company since 1987.  She is
president of Eickhoff Economics, Inc., a consulting firm she founded in 1987.

    Frank E. Macher became a director of Tenneco Automotive in July 2000.  He
was named chief executive officer of Federal Mogul Corporation in January
2001.  From 1997 to his retirement in July 1999, Mr. Macher served as
president and chief executive officer of ITT Automotive.

    Roger B. Porter has been a director of the company since January 1998.  He
is the IBM Professor of Business and Government at Harvard University, having
served on the faculty at Harvard University since 1977.

    David B. Price, Jr. was named a director of the company in November 1999.
He was most recently president of PMD Group, Inc., formerly the performance
materials segment of the BF Goodrich Company.  Previously, Mr. Price served as
executive vice president of the BF Goodrich Company and president and chief
operating officer of BF Goodrich Performance Materials, since July 1997.

    Dennis G. Severance became a director of the company in July 2000.  He is
the Accenture Professor of Computer and Information Systems at the University
of Michigan Business School.

    Stockholders also ratified the appointment of Arthur Andersen LLP as the
company's independent public accountants for the year ending December 31,
2001.
