Detroit Law Firm Announces the Addition of Patrick Daugherty

    DETROIT--April 16, 2001--Patrick Daugherty, a leading business lawyer is joining Foley & Lardner, the nation's 11th largest law firm, after serving as partner at Detroit's Dickinson Wright PLLC. Daugherty joins Foley's Detroit office as partner in the firm's Corporate Securities Group.
    Daugherty has led numerous highly visible business and financial transactions, including Visteon Corp.'s August 2000 $1.2 billion debt offering - believed to be the largest public offering ever executed by a Michigan law firm.
    A Michigan native, Daugherty practiced law in the east for nearly 20 years and is nationally recognized in corporate finance and securities law matters, business combinations and corporate governance. From 1986 to 1989, he served as counsel to Edward H. Fleischman, then commissioner of the U.S. Securities and Exchange Commission (SEC), in Washington, D.C. As counsel to the commissioner, he assisted in planning and monitoring SEC programs worldwide, including its prosecution of the infamous financiers Ivan Boesky and Michael Milken and its reform of domestic financial market regulation following the 1987 stock market crash. Before returning to Michigan last year, Daugherty also spent 10 years in Charlotte, N.C., where he led the corporate securities practice of 500-lawyer McGuireWoods LLP.
    Throughout his career, Daugherty has also:

-- Executed numerous public-company "purchase" and "pooling" transactions as stock purchases, asset purchases and mergers, including Kohlberg Kravis Roberts & Co.'s investment in Denny's and affiliated companies - at that time the largest buyout in South Carolina history;
-- Organized and counseled many securities broker-dealers, investment advisers, hedge funds and private investment companies, including a predecessor of "major bracket" firm Banc of America Securities - affiliated with the largest bank in the United States;
-- Provided full-service corporate counsel to companies in industries as diverse as robotics, auto supply, motorsports, textiles, telecommunications and health care; and
-- Planned and executed both "offensive" and "defensive" strategies and tactics for use in hostile takeovers.

    Mr. Daugherty received his bachelor's degree from Northwestern University and his law degree from Cornell University. He regularly lectures to legal, accounting, financial and business groups, has published numerous articles, has co-authored one book and edited another. He is licensed to practice law in New York; Washington, D.C.; North Carolina and Michigan.
