Goodyear Directors Re-elected, Dividend Declared

    AKRON, Ohio, April 2 Shareholders of The Goodyear Tire &
Rubber Company today re-elected John G. Breen, William E. Butler, Edward T.
Fogarty, Robert J. Keegan and William E. Butler to terms on the company's
board of directors.
    Breen is the retired chairman of the board of The Sherwin-Williams
Company.  Butler is the retired chairman of the board and chief executive
officer of Eaton Corp.  Fogarty is the retired chairman of the board,
president and chief executive officer of Tambrands Inc.  Keegan is Goodyear's
president and chief operating officer.
    The terms of Breen, Fogarty and Keegan will expire at the 2004 annual
meeting.  Butler's term will expire at the 2002 annual meeting.
    The seven continuing directors are as follows:

    * Samir G. Gibara, William J. Hudson Jr. and Martin D. Walker, whose terms
      expire at the 2002 annual meeting, and
    * Thomas H. Cruikshank, Katherine G. Farley, Steven A. Minter and Agnar
      Pytte, whose terms expire at the 2003 annual meeting.

    Directors George H. Schofield and William C. Turner retired from the board
today.
    Shareholders also approved the re-appointment of PricewaterhouseCoopers
LLP as the company's independent accountants for 2001 and rejected a proposal
requesting that the board take steps to establish annual elections of all
directors.
    The board of directors declared a quarterly dividend of 30 cents a share.
The dividend is payable June 15, to shareholders of record May 15.  The payout
represents an annual rate of $1.20 per share.
    The board also re-elected all Goodyear officers for the coming year.
