DENSO to Consolidate Two Australian Manufacturing Companies

SOUTHFIELD, Mich., March 30 Japan-based DENSO Corporation,
parent company of DENSO International America, will consolidate, as of July
2001, two of its manufacturing companies of automotive air conditioners in
Australia.

"Because competition among auto parts suppliers has been intensifying in
Australia as well as other markets in the world, DENSO has decided to
undertake this consolidation plan to maintain its competitive advantage," said
Kiochi Fukaya, managing director of DENSO Corporation. "After much study, it
was determined that streamlining operations through a consolidation would
strengthen DENSO's corporate structure in Australia."

Functions and operations currently carried out by DENSO Manufacturing
Australia Pty. Ltd. (DMAU) of Altona, State of Victoria will be transferred
about 32 miles (50 kilometers) away from Australian Automotive Air Pty. Ltd.
(AAA) in Croydon, State of Victoria.

AAA currently manufactures and sells air conditioners while DMAU
manufactures and sells heaters and radiators.

With implementation of this consolidation plan, DENSO will have three
companies in Australia, including DENSO International Australia Pty. Ltd., the
regional headquarters, and Flexdrive Industries Limited, which manufactures
and sells instrument clusters, motors, cables and washer systems.
