Code-Alarm Names New Chairman, CEO to Lead

Former Detroit Renaissance Executive Douglas Graham Elected
Chairman of Code-Alarm's Board
MADISON HEIGHTS, Mich., March 29 Code-Alarm, Inc. today
announced a number of board- and executive-level changes aimed at accelerating
the Company's growth as a world-class automotive and technology supplier.
The Madison Heights, Mich.-based manufacturer of automotive electronics
said its board of directors has elected Douglas H. Graham, former economic
development director for Detroit Renaissance, Inc. as chairman of the board.
The Code-Alarm board also named President and Chief Operating Officer Peter
Stouffer to the additional post of chief executive officer and appointed
founder Rand W. Mueller to the newly created post of vice chairman. Mueller
will focus on building Code-Alarm's new telematics affiliate, Code
Technologies.

new accountabilities provide an opportunity for Pete and Code-Alarm to do what
they do best with the launch of PowerCode and other technologies in the
traditional vehicle security and convenience business, while simultaneously
allowing Rand to lead the charge into the high-growth market of telematics."
Graham and Stouffer will continue to refine the strategic vision of Code-
Alarm and implement the initiatives needed to allow the Company to grow into a
diversified automotive technology provider.
Graham, 41, will focus on expanding the Company's technology offerings
beyond its core security, remote start and keyless entry business through
strategic alliances, including potential joint ventures, marketing
partnerships, mergers and acquisitions. Graham is the chairman and chief
executive officer of Bloomfield Hills, Mich.-based Detroit Technology
Ventures, LLC (DTV), a venture capital fund focused on new and emerging
technology businesses as well as undervalued industrial technology
manufacturers. During his tenure at Detroit Renaissance, Inc., Graham secured
$1.3 billion in private-sector funds, established a community development
bank, and led marketing and business development efforts for the Detroit
Invest Fund.
Stouffer, 38, has served in a variety of board and executive management
positions during his 14-year career at Code-Alarm. In November 1999, he was
named president and chief operating officer, with responsibility for day-to-
day operations and product development. Stouffer spearheaded the development
and launch of Code-Alarm's new, industry-leading PowerCode Technology(TM).
This flexible and expandable technology controls today's most popular vehicle
comfort, convenience and security options -- keyless entry, remote car start
and anti-theft -- as well as many new features to be introduced over the next
12 months and beyond.
Mueller, 50, who founded Code-Alarm in 1980 and served as its chairman and
chief executive officer over the past 15 years, will focus his energies on the
Company's entry into the burgeoning $4 billion automotive telematics market.
In December 2000, Code-Alarm announced the formation of Code Technologies and
its alliance with Fremont, Calif.-based @Road to deliver a web-based
telematics solution for use by motorists in their vehicles.
